Oceanic Supply Pty Ltd –Terms and Conditions of Sale

Welcome to the Oceanic Supply online store. By placing an order with us, you agree to the following terms and conditions:


1. DEFINITIONS

"Australian Consumer Law" means Schedule 2 of the Competition and Consumer Act 2010 (Cth).

"Buyer" means the purchaser of goods from Oceanic Supply Pty Ltd (the “Seller”).

"Business Day" means any day excluding weekends and public holidays in the delivery location.

"Contract" means a contract formed by acceptance of a Buyer’s order by the Seller.

"Excluded Loss" means indirect or consequential losses, including but not limited to loss of profits, opportunity, data, reputation, or business interruption.

"Force Majeure Event" includes any cause beyond the reasonable control of a party including natural disasters, epidemics, government action, transport delays or material shortages.

"GST" means Goods and Services Tax under the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

"PPSA" means the Personal Property Securities Act 2009 (Cth).

"Purchase Price" means the amount payable by the Buyer for the goods or services supplied by the Seller.


2. Orders & Acceptance

  • Orders placed via our online store constitute an offer to purchase and are subject to acceptance by Oceanic Supply.
  • Acceptance occurs upon order confirmation, invoicing, or dispatch of goods.
  • All orders are subject to availability and current pricing at the time of order.

3. Pricing & Payment

  • All prices are listed in AUD and exclude GST unless otherwise stated.
  • Payment is required at checkout unless you are an approved account holder.
  • Approved account holders will be invoiced, with payment due within 30 days from the end of the month of invoice.
  • We accept secure payment via credit/debit card and other supported online methods.


4. Returns & Refunds

·         Contact us within 7 days of delivery if you wish to request a return.

·         Returns are subject to approval and must be in saleable condition.

·         Custom or made-to-order items are non-returnable unless faulty.

·         A restocking fee may apply for change-of-mind returns.


5. Product Information

·         Product specifications, images, and performance data are provided by manufacturers and suppliers. We do not independently verify all details.

·         We reserve the right to offer substitute products with similar specifications, subject to your approval.


6. RETURNS

Returns (excluding those required under Australian Consumer Law) require prior written approval, must be in saleable condition, and returned within 14 days. A restocking fee may apply. Custom or non-standard items are non-returnable unless faulty.


7. GST

All prices are exclusive of GST unless otherwise stated. GST will be added in accordance with applicable law and must be paid in addition to the Purchase Price.


8. TITLE AND RISK

Risk in goods passes on delivery, but title remains with the Seller until full payment is received. The Buyer must store unpaid goods separately and may sell them as the Seller’s agent. The Buyer consents to the Seller registering its interest under the PPSA.


9. CANCELLATION OR SUSPENSION

The Seller may cancel or suspend supply if the Buyer breaches these terms or fails to pay any amount due. The Seller is not liable for any resulting loss or damage to the Buyer.


10. INSTALLATION

Unless otherwise agreed in writing, all goods are sold on a supply-only basis. Installation and commissioning (if applicable) are the responsibility of the Buyer.

 

11. SHIPMENT AND DELIVERY CHARGES

Shipping costs will be communicated prior to order confirmation. The Seller may impose charges for delivery, including split or backorder shipments.

Delivery timeframes are estimates only. The Seller is not liable for any delays. Risk passes to the Buyer upon delivery. The Seller may make partial deliveries, each treated as a separate sale. Buyer must inspect goods upon delivery and report any issues within 7 days.

 

12. CONTINGENCIES

Any taxes, duties, or charges imposed after quotation or invoicing are the Buyer’s responsibility.


13. FORCE MAJEURE

The Seller will not be liable for any delay or failure to perform its obligations due to a Force Majeure Event. This does not excuse the Buyer’s obligation to pay for goods delivered.


14. BUYER’S CANCELLATION

Orders cannot be cancelled once accepted unless agreed in writing by the Seller. Cancellation may incur a charge.


15. WARRANTIES

The Seller provides no additional warranties beyond those required by Australian Consumer Law. Any manufacturer warranties are passed on to the Buyer where applicable.


16. INSURANCE

The Seller maintains public and product liability insurance and workers compensation insurance as required by law.


17. LIMITATION OF LIABILITY

Nothing in these Terms limits rights under the Australian Consumer Law. To the extent permitted:

  • Seller’s liability for goods or services is limited to repair, replacement, re-supply, or refund of the Purchase Price.
  • The Seller is not liable for any Excluded Loss.
  • Liability is capped at the Purchase Price or the amount recoverable under the Seller’s insurance, whichever is greater.

18. AMENDMENT TO TERMS

These Terms and Conditions may be updated from time to time. The version in effect at the time of order placement applies. Updated terms will be published on the Seller’s website.


19. GOVERNING LAW

These Terms are governed by the laws of Western Australia. The parties submit to the non-exclusive jurisdiction of the courts of that State.
